The man boarded a train at Bargo railway station about 12pm on August 6 and sat next to a 16-year-old girl.
The man allegedly exposed his genitals and began committing a sexual act, but stopped when another passenger entered the carriage.
The teen got off the train at the next stop and the incident was reported to police.
Campbelltown Police Transport Command officers launched an investigation.
Police attended a Silverwater correctional facility and arrested a 41-year-old man on Tuesday, August 20.
The man charged with performing a sexual act without consent.
He is due to appear at Campbelltown local court on Wednesday, August 21 by video link.
The investigation was undertaken as part of Operation Artemis, which targets sexual offences on the public transport network.
